By accessing or using our website or platform, creating an account, requesting a demo, or using any part of our services, you agree to these Terms. If you do not agree, you must not use our services.

Neuracite is an AI optimization platform that helps brands audit, monitor, and improve their visibility across AI search engines, large language model outputs, AI-generated answers, citations, recommendations, and decision-stage buyer prompts.
Our services may include AI visibility audits, citation tracking, competitor comparison, prompt monitoring, analytics dashboards, reports, recommendations, and related optimization insights.
2. Eligibility and Business Use
The Neuracite platform is intended primarily for business and professional use.
By using the platform, you confirm that:
You are at least 18 years old.
You have authority to use the services on behalf of yourself or the company you represent.
Any information you provide is accurate, lawful, and complete.
Your use of the services complies with applicable laws and these Terms.
If you use Neuracite on behalf of a company or organization, “you” refers to both you and that company or organization.
3. Accounts and Access
Certain features of the Neuracite platform may require an account.
You are responsible for:
Keeping your login credentials confidential.
All activity that occurs under your account.
Ensuring that your users comply with these Terms.
Notifying us promptly if you suspect unauthorized access or misuse.
We may suspend or restrict access to your account if we believe there has been unauthorized use, a security risk, non-payment, misuse, or a breach of these Terms.
4. Description of Services
Neuracite provides tools and insights designed to help brands understand and improve how they appear in AI-driven discovery environments.
The platform may help you:
Track whether your brand appears in AI-generated responses.
Monitor citations, mentions, and recommendations.
Compare your visibility against competitors.
Analyze prompts, keywords, and buyer-intent queries.
Identify visibility gaps and optimization opportunities.
Generate reports, dashboards, scores, and recommendations.
Understand how AI systems may interpret your brand, website, and content.
Neuracite may update, modify, improve, limit, or discontinue parts of the services from time to time.
5. AI Outputs and No Guaranteed Results
Neuracite provides analytical and strategic insights. We do not guarantee any specific business outcome.
You understand and agree that Neuracite does not guarantee:
AI search rankings
Citations
Mentions
Recommendations
Visibility scores
Search traffic
Leads
Conversions
Revenue
Competitive position
Specific outputs from LLMs or AI platforms
AI search systems, large language models, and third-party platforms are controlled by external providers. Their outputs may change at any time due to model updates, algorithm changes, data availability, prompt variation, market conditions, or other factors outside our control.
Any reports, recommendations, scores, forecasts, or insights provided by Neuracite are informational only and should be reviewed using your own business judgment.
6. Customer Data and Inputs
You may submit data, content, prompts, URLs, company information, competitor information, brand assets, or other materials to the platform (“Customer Data”).
You retain ownership of your Customer Data.
By submitting Customer Data, you grant Neuracite a limited right to use, process, store, analyze, transmit, and display that data only as necessary to:
Provide the services.
Generate reports, outputs, analytics, and recommendations.
Maintain, secure, and improve the platform.
Provide support.
Comply with legal obligations.
You are responsible for ensuring that you have the necessary rights, permissions, and legal basis to submit Customer Data to Neuracite.
You must not submit Customer Data that is unlawful, confidential without authorization, infringing, harmful, misleading, or contains sensitive personal data unless expressly agreed with us in writing.
7. Generated Outputs
The platform may generate reports, recommendations, summaries, scores, analysis, written content, or other outputs using AI systems, analytics, or LLMs (“Outputs”).
You are responsible for reviewing and validating Outputs before relying on them or using them publicly.
Outputs may be incomplete, inaccurate, outdated, duplicated, biased, or influenced by third-party systems and external data sources. Neuracite does not guarantee that Outputs are accurate, complete, unique, or suitable for your specific use case.
You should not treat Outputs as legal, financial, investment, compliance, or professional advice.
8. Acceptable Use
You agree not to use Neuracite to:
Violate any law, regulation, or third-party right.
Upload unlawful, harmful, misleading, defamatory, infringing, or malicious content.
Upload viruses, malware, harmful code, or security exploits.
Attempt to gain unauthorized access to the platform or related systems.
Interfere with, disrupt, overload, or damage the services.
Reverse engineer, copy, scrape, decompile, or attempt to extract source code or proprietary logic.
Resell, sublicense, rent, or commercially exploit the services without our written permission.
Use the services to build or train a competing product.
Misrepresent AI-generated content as human-generated where disclosure is legally required.
Use the services for spam, fraud, deception, or unlawful marketing.
Submit sensitive personal data, health data, financial account data, government identifiers, or children’s data unless expressly authorized.
Use the platform in a high-risk, regulated, or safety-critical context without our written approval.
We may suspend or terminate access if we believe your use creates legal, security, operational, reputational, or technical risk.
9. Third-Party Services and LLMs
Neuracite may rely on third-party services, including cloud providers, analytics tools, data providers, AI systems, large language models, APIs, authentication providers, and other infrastructure providers.
Third-party services may change, become unavailable, produce different outputs, or impose restrictions outside our control.
We are not responsible for third-party platforms, LLMs, APIs, websites, models, search engines, data sources, integrations, or their actions, outputs, availability, security, or terms.
Your use of any third-party service may also be subject to that provider’s own terms and policies.
10. Fees, Subscriptions, and Payment
Some parts of the services may be free, while others may require payment.
If you purchase a paid plan, subscription, report, or service, you agree to pay all applicable fees according to the pricing and billing terms presented at checkout, in an order form, invoice, or separate agreement.
Unless otherwise stated:
Fees are payable in advance.
Fees are exclusive of applicable taxes.
Payments are non-refundable except where required by law or expressly agreed in writing.
Failure to pay may result in suspension or termination of access.
We may change pricing for future billing periods or renewals with reasonable notice.
11. Free Trials and Beta Features
We may offer free trials, previews, beta features, or early-access features.
These are provided for evaluation purposes only and may be limited, changed, suspended, or discontinued at any time.
Free trials and beta features are provided “as is” and may contain errors, interruptions, incomplete functionality, or inaccurate outputs.
12. Intellectual Property
Neuracite and its licensors own all rights, title, and interest in the platform, website, software, technology, algorithms, workflows, designs, dashboards, reports templates, models, prompts, scoring systems, branding, trademarks, and related materials.
These Terms do not transfer ownership of Neuracite’s intellectual property to you.
Subject to your compliance with these Terms, Neuracite grants you a limited, non-exclusive, non-transferable, revocable right to access and use the services for your internal business purposes.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the services unless expressly permitted in writing.
13. Feedback
If you provide feedback, ideas, suggestions, or recommendations about Neuracite, you allow us to use them without restriction or compensation.
We may use feedback to improve our products, services, features, marketing, or business operations.
14. Customer References and Logo Use
Unless otherwise agreed, you grant Neuracite permission to identify your company as a customer or user of Neuracite, including by using your company name and logo on our website, pitch materials, sales materials, and promotional content.
We will not suggest that you endorse Neuracite beyond being a customer unless you separately approve that.

15. Privacy and Data Protection
Our processing of personal data is described in our Privacy Policy.
By using the services, you agree that Neuracite may collect and process personal data in accordance with our Privacy Policy and applicable data protection laws.
If we process personal data on your behalf as part of the platform, additional data processing terms may apply.
16. Confidentiality
Each party may receive confidential information from the other.
Confidential information includes non-public business, technical, financial, product, customer, marketing, or operational information that should reasonably be understood as confidential.
Each party agrees to:
Use confidential information only for purposes related to the services.
Protect confidential information using reasonable care.
Not disclose confidential information except to employees, contractors, advisors, or service providers who need to know and are bound by confidentiality obligations.
Confidentiality obligations do not apply to information that is publicly available, already known without restriction, independently developed, or lawfully received from another source.
17. Service Availability
We aim to provide reliable access to the services, but we do not guarantee uninterrupted, error-free, or always-available operation.
The services may be unavailable due to maintenance, updates, outages, third-party failures, security issues, force majeure events, or circumstances beyond our control.
We may make changes to the services to improve performance, security, functionality, compliance, or user experience.

To the maximum extent permitted by law, the services are provided on an “as is” and “as available” basis.
Neuracite disclaims all warranties, express or implied, including warranties of accuracy, reliability, availability, fitness for a particular purpose, non-infringement, and merchantability.
We do not warrant that:
The services will be uninterrupted or error-free.
Outputs will be accurate, complete, current, or reliable.
AI-generated insights will be free from hallucinations, bias, or errors.
Third-party LLMs or AI search systems will produce consistent results.
The services will meet your business, legal, regulatory, or revenue expectations.
Any visibility improvements, rankings, citations, traffic, or revenue will occur.
19. Limitation of Liability
To the maximum extent permitted by law, Neuracite will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings.
Neuracite will not be liable for damages arising from:
AI-generated outputs or recommendations.
Third-party platforms, LLMs, APIs, or search engines.
Customer Data submitted by you.
Your reliance on outputs without independent review.
Unauthorized access caused by your failure to secure credentials.
Service interruptions, outages, or delays.
Changes in third-party algorithms, models, systems, or policies.
To the maximum extent permitted by law, Neuracite’s total liability for any claim arising out of or relating to the services will not exceed the amount paid by you to Neuracite for the services in the 12 months before the event giving rise to the claim.
Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
20. Indemnity
You agree to indemnify and hold harmless Neuracite from any claims, losses, liabilities, damages, costs, and expenses arising from:
Your misuse of the services.
Your breach of these Terms.
Your Customer Data.
Your violation of applicable law.
Your violation of third-party rights.
Your use of Outputs, reports, recommendations, or generated content.
21. Suspension and Termination
We may suspend or terminate your access to the services if:
You breach these Terms.
You fail to pay applicable fees.
Your use creates legal, security, operational, or reputational risk.
We are required to do so by law.
We discontinue the relevant service.
You may stop using the services at any time. If you have a paid subscription, termination and cancellation terms may depend on your order form, subscription plan, or written agreement.
Upon termination, your right to access the platform ends. We may delete or retain Customer Data in accordance with our Privacy Policy, legal obligations, and any applicable agreement.
22. Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we may notify you by email, through the platform, or by posting an updated version on our website.
Your continued use of the services after changes take effect means you accept the updated Terms. If you do not agree, you must stop using the services.
23. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except where applicable law requires otherwise.
24. General
These Terms, together with any order form, subscription agreement, Privacy Policy, or other terms expressly incorporated by reference, form the entire agreement between you and Neuracite regarding the services.
If any part of these Terms is found unenforceable, the remaining parts will continue in effect.
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets.
Our failure to enforce any provision of these Terms does not waive our right to enforce it later.
